Terms & Conditions of SignaVision Solutions outlining our features, availability, tiers, and APIs and how notices may change, be suspended, or be withdrawn without notification. No service-level agreement applies. By participating in our services, you acknowledge the 'Acceptance Of Use' Understanding in using our services.
1. Acceptance of Services
By creating an account, accessing, or using the service, you agree to be bound by these Terms of Service, the Acceptable Use Policy, and any policies expressly incorporated by reference. These terms form a legally binding agreement between you and SignaVision Solutions Inc. (“Company”, “we”, “us”, or “our”). If you do not agree to these terms, you may not access or use the service.
1.1 System Usage
The platform is currently serviced for our account holders that currently is on subscription paying plan. The follow conditions that you are agreeing as acceptance of use of our system which includes:- The services are being provided to your benefits is served as "as-is" and "as-available".
- The services that is available to your usage is provided as "as-is" which does not guaranteed up time, performance commitment, or service-level agreement.
- All services features, APIs, retrieval scope, reasoning behavior, governance controls, storage quotas, tier structures, and platform capabilities may change without a notice,
- You acknowledge that our services may evolve, be restricted, or be removed at any time without notice.
- We may suspend, throttle, restrict, or terminate access to the service, in whole or in part, at our discretion, including for operational, security, governance, research, or capacity-management reasons.
- you are agreeing that you are knowingly participating as a member of a founding/pilot user.
- You acknowledge that your usage is anonymity and aggregated operational observability signals may be used to improve platform safety, retrieval quality, governance systems, and infrastructure performance.
- You agree to the terms on data export, archival, deletion, and retention which are governed by Section 11 (Data Life Cycle).
- you understand that participating in a pilot program is a temporary and experimental engagement, and that the service may be modified, limited, or discontinued at any time without notice.
- You acknowledged that pilot participation does not create any entitlement to uninterrupted access, feature permanence, future commercial terms, or continued availability of any specific capability.
2. The Service
The service provides tenant-scoped retrieval and reasoning capabilities over user-admitted documents and data. Users may upload files and interact with those files through governed retrieval, semantic indexing, and AI-assisted conversational interfaces. Responses are generated through retrieval-augmented processing operating within the boundaries of the tenant, tier, and governance policies assigned to the user. The platform is designed around sovereign tenant isolation and governed access controls.
3. Eligibility and Accounts
You must be at least the age of majority in your jurisdiction, or otherwise legally capable of entering into binding agreements, to use the service.
You agree to:
- provide accurate and current registration information.
- maintain the confidentiality of your account credentials.
- use only accounts assigned to you.
- promptly notify us of any suspected unauthorized access or security incident involving your account.
4. Tenant Sovereignty
Each tenant operates within a sovereign governance boundary. Access to retrieval, reasoning, indexing, occupancy, APIs, and associated platform resources is restricted to the tenant and tier to which a user has been explicitly admitted.
Users may not:
- attempt to access data outside their assigned tenant scope.
- probe, enumerate, bypass, or interfere with tenant isolation mechanisms.
- attempt cross-tenant retrieval or inference attacks.
- use the platform in a manner intended to circumvent governance or access controls.
- Cross-tenant access is prohibited by design and constitutes a material breach of these terms.
5. Tier Governance
Upon account creation, each tenant is assigned a default operational tier. Additional tiers, elevated capabilities, expanded retrieval scopes, or privileged platform functions may require administrative approval through the in-portal governance request process.
We may approve, deny, restrict, suspend, or revoke tiers or capabilities at our discretion, including where:
- use conflicts with the Acceptable Use Policy.
- operational or security risks are identified.
- lawful-use concerns arise.
- resource consumption materially impacts platform stability or governance integrity.
- Tier assignment does not create a permanent entitlement to any specific platform capability.
6. Uploads and Admissibility
Uploaded files are subject to platform admission controls before occupancy is created. Admission controls may include:
- file-type validation.
- malware and threat scanning.
- structural integrity checks.
- format admissibility checks.
- governance and policy evaluation.
- Files that fail admission are rejected and destroyed without entering semantic occupancy.
- Metadata relating to the rejection event, including timestamps and governance reasons, may be retained for security, audit, and operational purposes.
7. Intellectual property
7.1 Your content
You retain ownership of content you upload to the platform. You grant the Company a limited, non-exclusive, limited license to host, store, process, index, embed, retrieve, transmit, and display your content solely for the purpose of operating, securing, maintaining, and improving the service for your authorized use. This license terminates subject to the retention, archival, governance, and deletion provisions described in Section 11.
7.2 Our software
The platform, infrastructure, governance systems, sovereignty model, retrieval architecture, reasoning systems, APIs, operational methods, and all associated intellectual property remain the exclusive property of the Company and its licenser.
No ownership rights are transferred to you. Except as expressly permitted by law, you may not:
- reverse engineer the platform.
- attempt to extract proprietary governance mechanisms.
- replicate the operational architecture.
- build competing services from platform behavior or outputs.
- Your use of the service grants only a limited right to access and use the platform in accordance with these terms.
8. AI / Reasoning Output
Outputs generated by the platform are produced through automated retrieval, ranking, embedding, indexing, and reasoning systems operating over admitted occupancy and available context.
Outputs may:
- be incomplete.
- contain inaccuracies.
- reflect limited retrieval context.
- omit relevant information.
- generate incorrect or misleading conclusions.
- You are solely responsible for independently verifying outputs before relying on them for legal, medical, financial, educational, operational, or other consequential decisions. Where supported, the platform may provide citation, provenance, retrieval-trace, or governance indicators to improve transparency. Such indicators assist governance but do not guarantee factual correctness or completeness.
9. Acceptable Use
Your use of the platform is governed by the Acceptable Use Policy, which is incorporated into these terms by reference. Violation of the Acceptable Use Policy constitutes a material breach of these terms and may result in suspension, termination, governance restriction, occupancy quarantine, or legal escalation.
10. Pilot / Preview Limitations
See Section 1.1. The pilot status is a fundamental condition of access; nothing else in these terms overrides it.
11. Data Life Cycle
11.1 Uploaded Files
Uploaded files are retained only for the duration necessary to:- complete admission processing.
- verify extraction integrity.
- create semantic occupancy.
- support short-term recovery and operational validation.
11.2 Semantic Data Processing (chunks + embeddings)
The platform maintains a governed semantic occupancy layer consisting of extracted chunks, embeddings, retrieval metadata, governance lineage, and associated indexing artifacts. Once admitted, occupancy records are treated as operationally immutable for governance, provenance, audibility, and retrieval integrity purposes. Deletion requests affecting occupancy do not retroactively mutate historical occupancy records.Instead:
- the occupancy is superseded through governance tombstoning.
- retrieval visibility is revoked.
- future reasoning operations exclude retired occupancy where applicable.
- historical traces retaining governance references.
- prior retrieval events remaining audible.
- the platform will make commercially reasonable efforts to exclude retired occupancy from future retrieval operations after governance propagation completes.
- archived, resulting in read-only access.
- terminated, resulting in retirement of associated occupancy and retrieval eligibility.
- Archived tiers may preserve:
- chat history.
- retrieval lineage.
- governance trails.
- occupancy references.
- users may request export of eligible uploaded content during the export window.
- retrieval access is revoked.
- occupancy enters governance retirement procedures.
- active tiers may be archived pending deletion timelines.
- audit logs.
- governance records.
- security investigations.
- fraud prevention.
- legal compliance.
- dispute resolution.
- admission provenance logs.
- retrieval traces.
- governance events.
- anonymity operational metrics.
- aggregated performance telemetry.
- the legality, accuracy, and permissibility of content they upload.
- ensuring they possess all necessary rights, permissions, consents, and lawful authority relating to uploaded content.
- their own use of generated outputs, retrieval operations, exports, and downstream decisions.
- maintaining the security of their accounts and credentials.
- ensuring their use of the platform complies with applicable law, contractual obligations, and organizational policies.
- protect platform integrity, sovereignty boundaries, or operational stability.
- respond to suspected violations of the Terms, Acceptable Use Policy, or applicable law.
- investigate abuse, fraud, security incidents, governance circumvention, or unlawful conduct.
- prevent harm to other tenants, infrastructure, or retrieval systems.
- comply with legal, regulatory, or lawful-authority obligations.
- Where reasonably practicable, we may provide notice of suspension or termination.
- retrieval access is revoked.
- active tiers may be archived or retired.
- users may request export of eligible uploaded content during the applicable export window.
- occupancy retirement and governance tombstoning procedures may begin.
- retention and deletion timelines are governed by Section 11 (Data Life Cycle).
- Termination does not extinguish obligations or liabilities accrued prior to termination.
- indirect, incidental, consequential, special, exemplary, or punitive damages.
- loss of profits, revenue, business opportunity, goodwill, or data.
- service interruptions, retrieval failures, occupancy corruption, or governance propagation delays.
- user reliance on generated outputs, retrieval results, or automated reasoning.
- acts or omissions of users, third parties, infrastructure providers, or external services.
- the total amount paid by the user to the Company during the twelve (12) months preceding the claim; or
- one hundred Canadian dollars (CAD $100).
- fraud or fraudulent misrepresentation.
- gross negligence or willful misconduct where such limitation is prohibited by law.
- liability that cannot lawfully be excluded under applicable legislation.
- content you upload, process, retrieve, or distribute through the platform.
- your use or misuse of the service.
- your violation of these Terms, the Acceptable Use Policy, or applicable law.
- claims that your uploaded content infringes intellectual-property, confidentiality, privacy, or other rights of third parties.
- your reliance on or downstream use of generated outputs.
- This indemnity does not apply to the extent a claim results directly from the Company’s fraud, willful misconduct, or gross negligence where such limitation is prohibited by law.

To the maximum extent permitted by applicable law, the service is provided on an “as-is” and “as-available” basis without warranties of uninterrupted availability, accuracy, completeness, fitness for a particular purpose, or non-infringement.

You agree to indemnify, defend, and hold harmless SignaVision Solutions Inc., its officers, directors, employees, contractors, licensers, and affiliates from and against claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
16. Governing law and jurisdiction
These Terms and any dispute arising out of or relating to the service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that disputes arising from or relating to the service shall be subject to the exclusive jurisdiction of the courts of competent jurisdiction located in Ontario, Canada, unless otherwise required by applicable law.

We may update these terms. Material changes are versioned; the version you accepted is recorded into your account.
